Important Notice
By engaging Pro Solutions for any services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Pro Solutions.

1. Acceptance of Terms
By accessing or using Pro Solutions services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
If you do not agree with any part of these terms, you may not use our Services. We reserve the right to modify these terms at any time, and such modifications shall be effective immediately upon posting on our website.
2. Services Description
Pro Solutions provides IT consulting and software development services including but not limited to:
- Web Application Development
- Mobile Application Development
- AI & Machine Learning Solutions
- Cloud Infrastructure & DevOps
- UI/UX Design
- Technical Consulting
- MVP Blueprint Generation
The specific scope, deliverables, timeline, and pricing for each project will be defined in a separate Statement of Work (SOW) or project proposal.
3. Engagement Process
Project Initiation
All projects begin with a discovery phase to understand your requirements. Upon agreement on scope and terms, a formal proposal or SOW will be provided.
Acceptance
Project commencement requires written acceptance of the proposal/SOW and payment of the initial deposit as specified.
Communication
We maintain regular communication through agreed channels. Response times for queries are typically within 24-48 business hours.
4. Pricing & Payment
Payment Structure
Payments are typically structured as: • 30% deposit upon project initiation • 40% upon milestone completion (for larger projects) • 30% upon final delivery
Invoicing
Invoices are issued according to the agreed schedule. Payment is due within 14 days of invoice date unless otherwise specified.
Late Payment
Late payments may incur a fee of 1.5% per month. Work may be suspended if payment is overdue by more than 30 days.
Refunds
Deposits are non-refundable once work has commenced. Refunds for incomplete work will be calculated based on work completed.
5. Intellectual Property
Client Ownership
Upon final payment, you receive full ownership of all custom code, designs, and deliverables created specifically for your project.
Pro Solutions Retains
- Pre-existing tools, libraries, and frameworks
- Generic components that may be reused
- Development methodologies and processes
Third-Party Components
Some projects may include third-party components (open source libraries, APIs, etc.) which remain subject to their respective licenses.
Portfolio Rights
We reserve the right to display completed work in our portfolio unless you request confidentiality in writing.
6. Confidentiality
Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the engagement.

Exceptions
Confidentiality obligations do not apply to information that: • Is publicly available • Was known prior to disclosure • Is required by law to be disclosed
7. Warranties & Support
Bug Fix Guarantee
We provide a 30-day bug fix guarantee after delivery for issues directly related to our code that was working at handoff.
Exclusions
The warranty does not cover: • Issues caused by modifications made by others • Problems arising from third-party services • Changes in requirements after delivery • Infrastructure or hosting issues outside our control
Ongoing Support
Extended support and maintenance is available through our Monthly Retainer packages.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific project giving rise to the claim.
This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
9. Termination
By Client
You may terminate the engagement with 14 days written notice. You will be responsible for payment of all work completed up to the termination date.
By Pro Solutions
We may terminate if: • Payment is overdue by more than 30 days • There is a material breach of these terms • The project scope changes significantly without agreement
Effect of Termination
Upon termination, we will deliver all completed work for which payment has been received.
10. Dispute Resolution
Negotiation
Both parties agree to attempt to resolve any disputes through good-faith negotiation.
Mediation
If negotiation fails, disputes may be submitted to mediation before any legal proceedings.
Governing Law
These terms shall be governed by and construed in accordance with the laws of Lebanon. Any legal proceedings shall be conducted in the courts of Beirut, Lebanon.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website.
For ongoing engagements, we will provide reasonable notice of significant changes. Continued use of our services after changes constitutes acceptance of the modified terms.
Material changes will be communicated via email to active clients.
12. General Provisions
Entire Agreement
These Terms, together with any SOW or proposal, constitute the entire agreement between the parties.
Severability
If any provision is found unenforceable, the remaining provisions continue in effect.
No Waiver
Failure to enforce any right does not constitute waiver of that right.
Assignment
You may not assign your rights under these Terms without our written consent.
